1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms" or "Agreement") constitute a legally binding contract between you ("User," "you," or "your") and HostMyEvent, Inc., a California corporation with its principal place of business at 15541 Tracy St., San Lorenzo, CA 94580 ("HostMyEvent," "we," "us," or "our").

HostMyEvent owns and operates the HostMyEvent.com platform, the HostMyEvent brand, trademark, domain name, and all associated intellectual property. The Platform operates as a two-sided marketplace — a technology intermediary that facilitates commercial transactions between event organizers ("Clients") and event service providers ("Vendors") — and does not itself provide event services, venue rentals, catering, entertainment, photography, or any other services listed by Vendors.

By creating an account, clicking "I Agree," accessing, browsing, or using the Platform in any manner, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any supplemental policies or guidelines. You also confirm that you are of legal age and capacity to enter into binding contracts. If you are acting on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Definitions

"Platform": The HostMyEvent.com website, mobile applications, APIs, matching engine, bidding system, Event Creator, and all technology systems owned and operated by HostMyEvent, Inc.
"Client": Any registered user who uses the Platform to discover, compare, inquire about, or book event venues or vendor services.
"Vendor": Any venue owner, vendor, caterer, photographer, DJ, entertainer, florist, planner, or other service provider who creates a Listing on the Platform.
"Listing": Any venue profile, vendor services profile, or other commercial offer created and published by a Vendor on the Platform.
"Booking": A confirmed, paid transaction between a Client and Vendor facilitated through the Platform's payment system.
"Content": All text, images, videos, audio, reviews, bids, messages, and other materials uploaded or submitted to the Platform by any user.
"Platform Fee": The service fee retained by HostMyEvent, Inc. on completed Booking transactions. Current rate: 10%.
"Lead Credits": Virtual credits purchased by Vendors to unlock access to Client event match requests generated by the Event Creator.
"Event Creator": The Platform's intake form and matching engine that collects Client event requirements and surfaces matched Vendor results.
"Offer": A time-limited promotional deal created by a Vendor and displayed on their Listing page.
"Subscription Plan": A recurring paid plan purchased by Vendors to access premium Platform features (Vendor, Featured, or Elite tiers).
"Non-Circumvention": The prohibition against bypassing the Platform's transaction system to avoid Platform Fees, as detailed in Section 7.

3. Nature of the Two-Sided Marketplace

3.1 Intermediary Status

HostMyEvent operates exclusively as a technology intermediary and marketplace platform. HostMyEvent is not a party to any contract, agreement, or transaction between Clients and Vendors. HostMyEvent does not employ Vendors, control their pricing, guarantee their availability, or supervise the delivery of their services. The legal relationship for any event service is solely between the Client and the Vendor.

3.2 No Endorsement or Warranty of Vendor Services

The listing of any Vendor or venue on the Platform does not constitute an endorsement, recommendation, certification, or warranty by HostMyEvent regarding the quality, safety, suitability, licensing, insurance, or legality of any listed service. HostMyEvent performs no background checks, license verifications, or quality inspections of Vendors unless expressly stated otherwise in writing.

3.3 Platform as Facilitator

HostMyEvent's role is to provide technology infrastructure that enables Clients and Vendors to discover each other, communicate, negotiate, and complete transactions. HostMyEvent may facilitate dispute resolution between users but is under no obligation to do so and assumes no liability for the outcome of any dispute between a Client and a Vendor.

3.4 Market Integrity

HostMyEvent is committed to maintaining a fair, transparent, and efficient marketplace. HostMyEvent reserves the right to intervene in, cancel, or reverse any transaction it determines in its sole discretion to be fraudulent, in violation of these Terms, or harmful to the integrity of the Platform or its users.

3.5 No Price Fixing

HostMyEvent does not set, control, or recommend prices for Vendor services. All pricing is determined solely by individual Vendors. HostMyEvent makes no representation that any prices listed on the Platform are fair market value or competitive.

4. Eligibility and Account Registration

4.1 Age and Capacity

You must be at least 18 years of age and have full legal capacity to enter into binding contracts under applicable law. Minors are prohibited from using the Platform.

4.2 Accurate Information

You agree to provide accurate, current, and complete information during registration and to maintain the accuracy of such information throughout your use of the Platform. Providing false, misleading, or incomplete information is a material breach of these Terms and grounds for immediate account termination.

4.3 Account Security and Responsibility

You are solely responsible for all activity that occurs under your account, whether or not authorized by you. You must immediately notify HostMyEvent of any suspected unauthorized use of your account. HostMyEvent shall not be liable for any loss resulting from unauthorized account access due to your failure to secure your credentials.

4.4 One Account Per User

Each person or business entity may maintain only one active account per account type (Client or Vendor). Creating multiple accounts to circumvent restrictions, suspensions, or these Terms is prohibited.

4.5 Business Accounts

If registering on behalf of a business entity, you represent that: (a) the entity is duly organized and in good standing; (b) you have authority to bind the entity to these Terms; and (c) the entity's use of the Platform will comply with all applicable laws.

5. Vendor Terms and Obligations

5.1 Listing Accuracy and Completeness

Vendors are solely responsible for the accuracy, completeness, and truthfulness of all information in their Listings, including service descriptions, pricing, capacity, location, availability, photos, qualifications, credentials, insurance status, and response times. Vendors may not use misleading, deceptive, or false information in any Listing or communication.

5.2 Licensing, Insurance, and Legal Compliance

Vendors represent and warrant that they: (a) hold all licenses, permits, certifications, and insurance required by applicable local, state, and federal law to offer their listed services; (b) will comply with all applicable laws, regulations, health codes, and safety requirements in providing their services; and (c) will maintain such licenses and insurance in good standing throughout the term of their use of the Platform.

5.3 Subscription Plans and Lead Credits

Vendors may access the Platform under the Free tier or through paid Subscription Plans. Subscription fees are billed in advance on a monthly or annual cycle. Lead Credits may be purchased to unlock access to matched event requests. All subscription fees, Lead Credits, and ancillary purchases are non-refundable except as required by applicable California law or as expressly provided herein. HostMyEvent reserves the right to modify plan features, pricing, and Lead Credit values with 30 days notice.

5.4 Platform Fee on Bookings

HostMyEvent retains a Platform Fee of 10% on all completed Bookings processed through the Platform's payment system. This fee is automatically deducted at the time of payout to the Vendor via Stripe Connect. HostMyEvent may modify the Platform Fee percentage upon 30 days written notice to Vendors. Continued use of the Platform after such notice constitutes acceptance of the revised fee.

5.5 Offers and Promotions

Vendors may create time-limited Offers on their Listings, subject to the limits of their Subscription Plan. All Offers must be accurate, achievable, and fulfilled as described. Vendors may not create Offers they do not intend to honor. HostMyEvent reserves the right to remove Offers without notice.

5.6 Vendor Conduct Standards

Vendors agree not to: solicit Clients to conduct transactions outside the Platform to avoid Platform Fees; submit false, misleading, or fraudulent bids or Listings; discriminate against Clients on the basis of any protected characteristic; post duplicate, spam, or artificially inflated Listings; retaliate against Clients for submitting negative reviews; misrepresent their identity, credentials, or qualifications; or engage in price-fixing, collusion, or anti-competitive conduct.

5.7 Stripe Connect and Payouts

Vendors who receive payments through the Platform must complete Stripe Connect onboarding and maintain their Stripe account in good standing. Payouts are subject to Stripe's standard processing timelines and terms of service. HostMyEvent is not responsible for delays, holds, or failures in Stripe payouts attributable to Stripe or to the Vendor's failure to maintain accurate Stripe account information.

6. Client Terms and Obligations

6.1 Independent Evaluation

Clients are solely responsible for independently evaluating Vendors, verifying credentials and reviews, assessing suitability for their specific event, and making their own informed decisions. HostMyEvent does not guarantee the quality, safety, availability, or fitness of any Vendor's services.

6.2 Event Creator Submissions

Clients who submit event requests through the Event Creator represent that all information provided is accurate and complete. Event Requests are currently visible to all qualifying Vendors on the Platform's marketplace feed. HostMyEvent reserves the right to introduce additional visibility controls in future Platform releases.

6.3 Bid Acceptance and Payment Obligation

When a Client accepts a Vendor's bid, the Client enters into a binding agreement with that Vendor and is obligated to complete payment through the Platform's Stripe Checkout system. Accepting a bid and then failing to complete payment is a breach of these Terms and may result in account suspension.

6.4 Cancellations

Cancellation and refund rights for individual Bookings are governed by the agreement between the Client and Vendor and by the Vendor's stated cancellation policy in their Listing. HostMyEvent's Platform Fee is non-refundable upon Booking completion, except in cases of verified Vendor fraud or non-performance, as determined by HostMyEvent in its sole discretion.

6.5 Client Conduct

Clients agree not to submit false event requests, submit requests with no genuine intent to book, make fraudulent payments, or engage in any conduct designed to deceive or harm Vendors or the Platform.

7. Non-Circumvention and Platform Integrity

NON-CIRCUMVENTION: If a Client discovers a Vendor through the HostMyEvent Platform — including through Listings, bids, the Event Creator, messaging, or any other Platform feature — all resulting transactions must be completed through the Platform's payment system. Conducting such transactions outside the Platform to avoid Platform Fees is a material breach of these Terms.

7.1 Non-Circumvention Obligation

HostMyEvent's viability as a marketplace depends on transactions being conducted through the Platform. Both Clients and Vendors agree that they will not, directly or indirectly, circumvent, avoid, bypass, or obviate HostMyEvent's interest in any transaction by completing or arranging to complete any transaction outside the Platform that originated on or through the Platform.

7.2 Prohibited Off-Platform Conduct

The following conduct is expressly prohibited: Vendors requesting or accepting direct payment from Clients for services discovered or negotiated through the Platform; Clients offering to pay Vendors directly to avoid Platform Fees; sharing contact information for the purpose of conducting off-platform transactions; instructing or encouraging the other party to transact outside the Platform; using Platform messaging to solicit off-platform transactions.

7.3 Remedies for Non-Circumvention Violations

Violation of this Section may result in immediate account termination, forfeiture of Lead Credits and subscription amounts paid, and a claim by HostMyEvent against the violating party for damages equal to the Platform Fee that would have applied to the circumvented transaction, plus HostMyEvent's reasonable attorneys' fees and costs of enforcement.

7.4 Reporting

Users are encouraged to report suspected non-circumvention violations to HostMyEvent. HostMyEvent may, at its discretion, offer incentives to users who report confirmed violations in good faith.

8. Payments, Fees, and Financial Terms

8.1 Payment Processing

All payments on the Platform are processed by Stripe, Inc., a third-party payment processor. By using the Platform's payment features, you agree to Stripe's Terms of Service and Privacy Policy. HostMyEvent does not store, process, or have access to payment card numbers or bank account details.

8.2 Platform Fee Structure

The current Platform Fee retained by HostMyEvent on completed Bookings is 10% of the gross transaction amount. This fee is automatically deducted from the Vendor payout at the time of transaction settlement, is non-negotiable, and is subject to modification with 30 days advance notice to Vendors.

8.3 Subscription Fees

Subscription Plans are billed in advance on a monthly or annual cycle and automatically renew until cancelled. No refunds are provided for partial billing periods or unused subscription time. Vendors may cancel at any time through the billing dashboard, with cancellation effective at the end of the current billing period.

8.4 Lead Credits

Lead Credits are purchased in packages at stated prices. Credits are consumed when a Vendor unlocks access to a matched event request. Credits have no cash value, are non-refundable, are non-transferable, and expire upon account termination.

8.5 Taxes

Each party is solely responsible for determining and remitting all taxes applicable to their own income, transactions, or operations arising from or related to Platform use. HostMyEvent does not provide tax, legal, or accounting advice.

8.6 Disputed Charges

Clients who believe they have been improperly charged should contact HostMyEvent support within 30 days of the charge. Initiating a chargeback without first contacting HostMyEvent is a breach of these Terms and may result in account suspension.

9. Content, Intellectual Property, and Licenses

9.1 HostMyEvent Intellectual Property

HostMyEvent, Inc. owns all rights, title, and interest in and to the Platform, including the HostMyEvent name, trademark, logo, brand identity, domain names, software, source code, algorithms, matching engine, and all associated intellectual property rights.

9.2 License Grant by Users

By submitting Content to the Platform, you grant HostMyEvent a non-exclusive, worldwide, royalty-free, sublicensable, perpetual, irrevocable license to use, display, reproduce, modify, adapt, publish, and distribute such Content for the purposes of operating, improving, and marketing the Platform. You retain ownership of your Content.

9.3 Content Standards and Removal

You agree not to submit Content that is false, misleading, defamatory, fraudulent, infringes third-party rights, violates privacy, contains illegal or harmful material, or violates any applicable law. HostMyEvent reserves the right to remove any Content at any time without notice.

9.4 Reviews and Ratings

Client reviews must reflect genuine first-hand experience. Vendors may not offer incentives for positive reviews, threaten legal action in response to reviews, or manipulate ratings. HostMyEvent reserves the right to remove reviews and suspend accounts engaged in review manipulation.

10. Privacy and Data

HostMyEvent collects, stores, and processes personal data in accordance with its Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your personal information as described in the Privacy Policy.

HostMyEvent complies with applicable California privacy laws, including the California Consumer Privacy Act (CCPA). California residents have rights including the right to know what personal information is collected, the right to delete personal information, and the right to opt out of the sale of personal information. 11. Referral Program

Every user receives a unique referral code upon joining the Platform. Referral relationships (who referred whom) are recorded in the Platform's database. Credits are currently awarded on account creation (signup) as follows:

Vendors and Venue Owners earn 1 Bid credit for each person who creates an account using their referral link.

Event Creators earn 1 Discount Credit (worth $10 off a Booking) for each person who creates an account using their referral link.

Additional referral earning triggers (such as first event creation or first booking completion) are reserved for future activation. HostMyEvent will update these Terms and provide notice to users when additional triggers are enabled.

Discount Credits are applied automatically at checkout and reduce the total Booking amount payable by the Client. The Platform Fee is calculated on the pre-discount gross amount. Referral credits: (a) have no cash value; (b) are non-transferable; (c) expire upon account termination; and (d) may not be earned through self-referral or fake accounts. HostMyEvent reserves the right to withhold, reverse, or forfeit credits suspected of being earned fraudulently, and to modify or discontinue the referral program at any time.

12. Prohibited Conduct

•Violating any applicable local, state, federal, or international law or regulation
•Circumventing Platform payment systems or engaging in off-platform transactions for services discovered through the Platform
•Creating fake accounts, profiles, reviews, bids, or event requests
•Impersonating any person or entity or misrepresenting your identity, qualifications, or affiliations
•Scraping, harvesting, or systematically collecting data from the Platform without written authorization
•Attempting to gain unauthorized access to the Platform, its servers, or other users' accounts
•Interfering with or disrupting the Platform's operations, security, or integrity
•Uploading malicious code, viruses, or other harmful software
•Engaging in price-fixing, bid manipulation, or anti-competitive conduct
•Using the Platform to facilitate human trafficking, money laundering, or other illegal activities
•Reverse engineering, decompiling, or extracting source code from the Platform
•Sending unsolicited commercial messages (spam) to other users

13. Platform Protection — Disclaimers and Limitation of Liability

13.1 "As Is" Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. HOSTMYEVENT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

13.2 Vendor Disclaimer

HOSTMYEVENT DOES NOT ENDORSE, CERTIFY, GUARANTEE, OR WARRANT THE QUALITY, SAFETY, RELIABILITY, LEGALITY, OR SUITABILITY OF ANY VENDOR, LISTING, OR SERVICE. CLIENTS ENGAGE VENDOR SERVICES ENTIRELY AT THEIR OWN RISK.

13.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOSTMYEVENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND. HOSTMYEVENT'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) AMOUNTS YOU PAID TO HOSTMYEVENT IN THE PRECEDING 12 MONTHS; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

14. Indemnification

You agree to indemnify, defend, and hold harmless HostMyEvent, Inc., its affiliates, officers, directors, shareholders, employees, agents, licensors, and service providers from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: your breach of these Terms; your use of the Platform; Content you submit; your violation of any third-party right; your violation of applicable law; or any dispute between you and any other user.

15. Dispute Resolution and Arbitration

MANDATORY ARBITRATION AND CLASS ACTION WAIVER: This section requires individual arbitration of disputes rather than class action litigation. Please read carefully.

15.1 Governing Law

These Terms are governed by the laws of the State of California. Subject to the arbitration agreement below, any legal proceedings shall be brought exclusively in the state or federal courts located in Alameda County, California.

15.2 Informal Resolution

Before initiating formal arbitration, you agree to attempt informal resolution by contacting HostMyEvent at leslieramos537@gmail.com with a written description of the dispute and your proposed resolution. HostMyEvent will attempt to resolve the dispute within 30 days.

15.3 Binding Arbitration

Except as provided in Section 15.5, any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by JAMS under its applicable rules, conducted in Alameda County, California, or via videoconference.

15.4 Class Action Waiver

YOU AND HOSTMYEVENT AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING.

15.5 Exceptions to Arbitration

Either party may seek injunctive or equitable relief in court for: (a) protection of intellectual property rights; (b) prevention of irreparable harm; or (c) enforcement of the Non-Circumvention provisions in Section 7.

16. Modifications, Termination, and Suspension

16.1 Modifications to Terms

HostMyEvent reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days notice. Your continued use of the Platform after the effective date of any revised Terms constitutes your acceptance.

16.2 Modifications to Platform

HostMyEvent reserves the right to modify, update, enhance, suspend, or discontinue any feature, functionality, pricing, subscription plan, Platform Fee, or Lead Credit value at any time.

16.3 Termination by HostMyEvent

HostMyEvent may suspend or terminate your account at any time, with or without cause, including for: violation of these Terms, fraudulent or abusive conduct, non-payment, or behavior harmful to other users or HostMyEvent.

16.4 Termination by User

You may terminate your account at any time by contacting HostMyEvent support. No refunds of subscription fees, Lead Credits, or Platform Fees are provided upon voluntary termination.

17. Miscellaneous Legal Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional policies incorporated by reference, constitute the entire agreement between you and HostMyEvent with respect to the Platform.

17.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and all other provisions shall remain in full force.

17.3 Waiver

No waiver by HostMyEvent of any breach of these Terms shall be deemed a waiver of any subsequent breach.

17.4 Assignment

You may not assign your rights or obligations under these Terms without HostMyEvent's prior written consent. HostMyEvent may freely assign these Terms.

17.5 Force Majeure

HostMyEvent shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, pandemics, acts of government, power failures, or failures of third-party services.

17.6 Notices

BY USING THE HOSTMYEVENT PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS IN THEIR ENTIRETY, UNDERSTAND THEM, AND AGREE TO BE LEGALLY BOUND BY THEM. YOU FURTHER ACKNOWLEDGE THAT THESE TERMS INCLUDE A MANDATORY ARBITRATION CLAUSE (SECTION 15), A CLASS ACTION WAIVER (SECTION 15.4), AND A NON-CIRCUMVENTION PROVISION (SECTION 7).
